AMONG OTHER ACTIVITIES, KEY HEALTH’S SERVICES ENABLE COORDINATION AND COMMUNICATION WITH LICENSED HEALTH CARE PROVIDERS. KEY HEALTH LLC PROVIDES TELEHEALTH SERVICES THROUGH ITS STATE-LICENSED PROVIDERS. THESE SERVICES MAY NOT BE SUITABLE FOR ALL MEDICAL CONDITIONS OR CONCERNS.
IF YOU BELIEVE YOU HAVE A MEDICAL EMERGENCY OR MENTAL HEALTH CRISIS, IMMEDIATELY CALL YOUR DOCTOR OR 911. DO NOT USE THESE SERVICES FOR EMERGENCY OR CRISIS CARE.
THIS AGREEMENT INCLUDES PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE DISPUTES THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN THROUGH A LAWSUIT OR COURT PROCEEDINGS. THIS MEANS THAT (I) YOU ARE WAIVING YOUR RIGHT TO HAVE ANY DISPUTE DECIDED IN A COURT OF LAW BY A JURY OR A JUDGE (EXCEPT AS EXPLICITLY STATED IN SECTION 17), AND (II) YOU ARE WAIVING YOUR RIGHT TO PURSUE ANY DISPUTE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Introduction
Key Health LLC (“Key Health,” “we,” “us,” or “our”) owns and operates the website located at keyhealth.llc (the “Website”). We refer to the Website and related services collectively as the “Services.” In these Terms of Use, “you” and “yours” refer to the person using the Services.
These terms and conditions of use (“Terms of Use”) describe your rights and responsibilities regarding the Services. Your access to and use of the Services is subject to these Terms of Use, our Privacy Policy, and all applicable laws and regulations. In using certain parts of the Services, you may encounter additional or supplemental terms related to those Services, which you agree to review and accept.
PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION YOU NEED TO KNOW ABOUT THE SERVICES.
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THESE TERMS OF USE. IF YOU DO NOT OR CANNOT AGREE WITH ANY PART OF THESE TERMS OF USE, YOU SHOULD NOT USE THE SERVICES.

1. Services Overview, Availability, and Eligibility
Overview of the Services
Key Health provides telehealth-enabled healthcare services and related administrative support, which may include:
(i) providing health and wellness information;
(ii) facilitating scheduling and payment;
(iii) collecting intake information and health records for review by your provider;
(iv) offering HIPAA-compliant communications for consultations, follow-ups, and care coordination; and
(v) facilitating prescription fulfillment through pharmacies you select (including mail-order/ship-to-home options, where available and appropriate).
Availability
Certain Services are only available to individuals located in specific states. Key Health currently provides Services to eligible adults located in:
NY, DE, VT, FL, IA, ND, SD, NE, KS, OK, TX, CO, AZ (the “Service States”).
You must be physically located in a Service State at the time you use Services requiring clinical care.
Key Health is based in the United States. We provide the Services for use only by persons located in the United States. We make no claims that the Services are accessible or appropriate outside of the United States.
Eligibility
Our Services are intended for use only by individuals 18 years of age or older. By accessing or using the Services, you represent and warrant that:
- You are at least 18 years old;
- You are located in a Service State at the time of your visit;
- You agree to be legally bound by and comply with these Terms of Use; and
- You understand that meeting eligibility requirements does not guarantee you will receive Services. A provider may determine that telehealth is not appropriate for your concerns.
To access or use the Services, you must have compatible devices, internet access, and required software. Fees and charges may apply from your mobile carrier or internet provider.
2. Telehealth Services (Including Consent)
Telehealth Services
Telehealth involves delivery of healthcare services using electronic communications and information technology between a healthcare provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up, and patient education, and may include:
- Electronic transmission of medical records, photo images, personal health information, or other data
- Interactions via live video, audio, and/or asynchronous communications such as secure messaging
- Use of data from remote monitoring devices, where applicable
The systems used to deliver the Services incorporate network and software security protocols to protect privacy and security; however, no system can be guaranteed 100% secure.
Consent to Telehealth
By accepting these Terms of Use and using the Services, you acknowledge and agree:
- You understand the benefits and risks of telehealth, including potential limitations due to lack of in-person exam
- You consent to receive care via telehealth from Key Health’s licensed providers
- Telehealth is an evolving field, and your care may include technologies not specifically described here
- No specific outcomes can be guaranteed
- You have a duty to provide accurate and complete medical history and to update your provider about changes
- Your provider may determine telehealth is not appropriate and may recommend in-person care
- You cannot obtain emergency care through the Services; call 911 or go to the nearest ER for emergencies
- Your information will be collected, used, and shared as described in our Privacy Policy and as permitted by law
First Visit Requirement: To establish a patient-provider relationship, Key Health requires the first visit to be a live, face-to-face virtual visit, unless otherwise permitted by applicable law and clinical appropriateness.
3. Pharmacy Fulfillment and Third-Party Services
If you receive a prescription, you may be able to choose fulfillment through a pharmacy partner or your local pharmacy, depending on medication type, state laws, and provider judgment. You consent to Key Health sharing necessary information with the pharmacy you select to facilitate fulfillment.
Pharmacy services are provided by independent pharmacies and are subject to their own terms, policies, and counseling requirements. Key Health is not responsible for pharmacy operations outside our control.
4. Compounded Medications Disclaimer
If, in the independent medical judgment of your healthcare provider, a compounded medication is deemed appropriate, you acknowledge and agree:
- Compounded medications are not FDA-approved. They are custom-prepared by licensed pharmacies for an individual patient at the request of a prescriber.
- No guarantees are made regarding safety, efficacy, purity, or quality of compounded medications.
- You accept that compounded medications may carry risks that differ from FDA-approved products.
- You agree to discuss questions and concerns directly with your prescriber and dispensing pharmacy.
5. Registration and Account Creation
Certain parts of the Services may require an account. If you create an account, you agree to provide accurate, complete information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
Notify Key Health immediately if you suspect unauthorized access to your account.
6. Privacy
Key Health recognizes the importance of confidentiality and privacy regarding your health information. Please review our Privacy Policy for details on how we collect, use, disclose, and protect your information. The Privacy Policy is incorporated into these Terms of Use by reference.
7. Ownership and License to Use the Services
Ownership
Between Key Health and you, Key Health retains ownership of the Services and their content, features, and functionality, including text, graphics, design, layout, and “look and feel” (“Services Content”). Except as expressly permitted, you may not reproduce, distribute, modify, reverse engineer, or exploit the Services Content.
Trademarks
Names, logos, and other materials may be trademarks of Key Health. You may not use them without our prior written permission.
Your License
Subject to compliance with these Terms, Key Health grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
8. User Content and Our License to Use Such Content
“User Content” includes information you submit through the Services (e.g., intake forms, messages, feedback). To the extent permitted by law and consistent with our Privacy Policy, you grant Key Health and its service providers the right to use User Content to provide, maintain, and improve the Services, and for other purposes described in the Privacy Policy.
Do not submit content you do not have the right to share.
9. Restrictions on Use
You agree not to:
- Impersonate any person or misrepresent affiliation
- Violate laws or regulations
- Reverse engineer or disrupt the Services
- Introduce malware or harmful code
- Scrape or access the Services using automated means without permission
- Use the Services for unlawful, harmful, abusive, defamatory, or obscene content
- Attempt unauthorized access or bypass security measures
- Send spam or unsolicited promotions
- Copy or store significant portions of the Services Content for unauthorized purposes
10. Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT PERMITTED BY LAW, KEY HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KEY HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, KEY HEALTH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL KEY HEALTH’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00) OR THE AMOUNT YOU PAID TO KEY HEALTH FOR SERVICES IN THE THIRTY (30) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER (IF THIS CAP IS NOT PERMITTED BY LAW IN YOUR JURISDICTION, IT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED).
12. Indemnification
You agree to defend, indemnify, and hold harmless Key Health, its officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or related to: (i) your violation of these Terms; (ii) your misuse of the Services; or (iii) your violation of any law or third-party right.
13. Third-Party Links and Features on the Services
The Services may contain links to third-party sites or services. Key Health does not control and is not responsible for third-party content, policies, or practices. Use third-party services at your own risk.
14. Changes to the Terms of Use and the Services
We may modify these Terms at any time by posting updated Terms and revising the “Last Revision” date. Continued use after changes means you accept the updated Terms.
We may modify, suspend, or discontinue the Services (in whole or part) at any time.
15. Payments; No Insurance Accepted; Financial Responsibility
Payments
You are responsible for all fees and charges associated with your use of the Services, including provider consultations and prescription costs. Payments may be processed through third-party processors.
No Insurance Accepted
Key Health does not accept or bill commercial insurance and is not enrolled with Medicare or Medicaid. By using the Services, you are choosing cash-pay care outside of insurance. You are solely responsible for all costs.
Appointment Fees: Visits are currently $50 per appointment (subject to change; you will be shown current pricing before purchase). Medication costs vary.
You may choose to use an HSA card if eligible.
16. Termination
We may suspend or terminate access to the Services at any time if you violate these Terms or for other lawful reasons. Provisions that should survive termination will survive (including disclaimers, limitation of liability, and dispute resolution).
17. Governing Law; Dispute Resolution; Arbitration; Venue; Severability
Governing Law
These Terms are governed by the laws of the state where Key Health is organized and/or where the applicable provider entity operates, without regard to conflict-of-law rules, unless otherwise required by law.
Arbitration
Any dispute arising out of or related to these Terms or the Services shall be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association (“AAA”) under its rules.
Class Action Waiver
You and Key Health agree that claims may be brought only in an individual capacity and not as a class, consolidated, or representative action.
Exceptions
Either party may bring an individual action in small claims court if eligible. Either party may seek injunctive relief in court to protect intellectual property rights.
Venue
Unless otherwise required by law, arbitration will occur in a mutually agreed location or by remote arbitration.
Severability
If any provision is held unenforceable, the remaining provisions remain in effect.
18. Communications by Text Message and Email
By providing contact information, you consent to receive communications related to your care, account, and Services via text message and email (including appointment reminders and service messages). Promotional messages (if any) will include opt-out instructions.
Standard message and data rates may apply. You can opt out of text messages by replying “STOP” (where applicable).
19. Miscellaneous Terms
These Terms and the Privacy Policy constitute the entire agreement between you and Key Health regarding the Services. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them as permitted by law.

21. Additional Terms for Specific Products and Services
Certain programs (e.g., weight loss, aesthetics, mental health, hormone therapy) may have additional program-specific disclosures, eligibility rules, refill policies, and safety information that will be provided during intake and/or at checkout and are incorporated by reference.
